Terms of Service

1. Agreement to Terms

By accessing our website or engaging CodeMad Digital Services LLC ("Company," "we," "us," or "our") for consultancy services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

CodeMad Digital Services LLC provides web development consultancy services on a weekly engagement basis. Our services include but are not limited to:

• Website design and development
• Web application development
• Website maintenance and support
• Performance optimization
• Technical consulting and strategy
• Custom integrations and API development

3. Engagement and Payment Terms

Our consultancy packages are billed weekly:

• Starter Package: $500 USD/week
• Growth Package: $1,000 USD/week
• Enterprise Package: $1,500 USD/week

Payment is due at the beginning of each weekly engagement period. We accept major credit cards and bank transfers. Failure to pay may result in suspension of services.

4. Client Responsibilities

As a client, you agree to:

• Provide timely and accurate information necessary for project completion
• Respond to communications and requests within reasonable timeframes
• Provide necessary access to systems, accounts, and resources
• Review and provide feedback on deliverables promptly
• Make payments according to agreed terms

5. Intellectual Property

Upon full payment, you will own all intellectual property rights to the custom work created specifically for your project. We retain the right to use general techniques, skills, and non-proprietary components developed during the engagement. We may showcase completed projects in our portfolio unless otherwise agreed in writing.

6. Confidentiality

We agree to keep all client information, business data, and project details confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law or to provide the agreed services.

7. Limitation of Liability

CodeMad Digital Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid for services in the three (3) months preceding the claim.

8. Termination

Either party may terminate the engagement with 7 days written notice. Upon termination, you will be billed for all work completed up to the termination date. We will provide all completed deliverables and project files upon full payment.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms shall be resolved through binding arbitration.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
